Terms of Service
Last updated: October 30, 2026
These Terms of Service (“Terms”) are an agreement between Clinicly Inc. d/b/a STALLION, a corporation incorporated under the laws of Ontario, Canada (“Provider”, “we”, “our”), and the roofing or home improvement contractor or company that creates a STALLION account (“Contractor”, “you”). By creating an account or using the service, you agree to these Terms.
1. Services
STALLION advertises to homeowners who want a roof inspection or other home improvement work. When a homeowner's ZIP code falls inside the service area Contractor has set (a base ZIP code and a radius in miles), the homeowner is offered a free roof inspection with Contractor and books it by choosing an open time from Contractor's availability. The request goes to Contractor and to no other contractor. It is never resold or shared.
Pay per show-up appointment. Accounts are billed for each inspection booked with them (Section 3). The booked inspection is added to Contractor's dashboard and, if a calendar is connected, to Contractor's calendar.
Earlier pay-per-lead accounts. Accounts that were on pay-per-lead pricing before October 30, 2026 keep that model until Provider moves them to pay per show-up appointment with notice. Their homeowner requests are delivered as leads and billed as described in Section 3.
Provider is a lead generation and appointment-booking service. It is not a contractor, does not perform or supervise roofing or remodeling work, and is not a party to any contract between Contractor and a homeowner.
2. Inspections
An “inspection” is an exclusive, free roof inspection (or, for other trades, an in-home estimate) between Contractor and a homeowner, booked through STALLION for a specific date and time at an address the homeowner provides. It includes the homeowner's name, phone number, email address and address. Where Provider verifies a homeowner before the inspection is booked, for example with a soft credit check the homeowner authorizes through consumer reporting agencies, the results (such as the verified address, the identity check and whether the credit check was passed) are provided to Contractor with the inspection. Verification relies on third-party data, which may be incomplete or out of date. Each inspection goes to one contractor only. Receiving a homeowner request costs nothing; an inspection is charged when it is booked (Section 3). After a booking:
- Held. The inspection takes place. The payment made at booking stands, and nothing further is charged after the visit.
- No-show. The homeowner is not there for the inspection. Contractor may report a no-show from its dashboard, from the start of the inspection window until 24 hours after it ends, with a written description and at least one piece of evidence (for example a photo at the address, a call log or a text thread). Provider reviews the report. If it is approved, Contractor receives one inspection credit, applied to a future inspection. If it is denied, the charge stands. Provider's decision on a no-show report is final.
- Canceled by the homeowner. The homeowner cancels before the inspection. Contractor is not charged for it, or, if it was already paid, receives one inspection credit. The time becomes available again.
- Rescheduled. The homeowner or Contractor moves the inspection to another time. It remains the same inspection with the same payment, and no new charge is made.
- Canceled by Contractor. If Contractor cancels or misses a booked inspection, the payment made at booking stands and no credit is given.
3. Pricing & Billing
- $147.00 USD per show-up appointment. Each inspection booked with Contractor is charged $147.00, after any credits on the account are used.
- Sign-up authorization. When Contractor activates an account, Contractor connects a card or bank account (ACH) and is charged $1.00 to verify it. The $1.00 is deducted from the charge for Contractor's first appointment, so that appointment is charged$146.00. Accounts activated on October 29 and 30, 2026 were charged $147.00 at activation instead, as a prepaid credit for the first inspection that does not expire.
- Promotional credits. Any promotional credit STALLION grants (none is offered at sign-up) is applied automatically to the next charge, before any prepaid credit, and expires on the date stated when it was granted. It has no cash value, can't be transferred, and ends when the account is cancelled.
- Inspection credits. A credit from an approved no-show report or a homeowner cancellation covers one future inspection and is applied automatically before the payment method is charged. A credit from a homeowner cancellation expires 365 days after it is granted. Inspection credits have no cash value, can't be transferred, and end when the account is cancelled.
- When an inspection is charged. An inspection is charged to the card or bank account on file when the homeowner books it. Any credit on Contractor's account is applied first. Apart from the credits described above, the charge is final.
- Earlier pay-per-lead accounts: $97.00 USD per lead. Accounts on pay-per-lead pricing are charged $97.00 for each lead delivered to them, when it is delivered, after any credits on the account are used. That charge is final.
- No other fees. There is no retainer, setup fee, subscription, minimum commitment, or commission on jobs Contractor wins. Provider covers the advertising cost.
- Authorization. Contractor authorizes Clinicly Inc. d/b/a STALLION to charge the card or bank account on file $1.00 at activation (deducted from the first appointment's charge), and then $147.00 each time a homeowner books an inspection with Contractor once its credits are used (or, for a pay-per-lead account, $97.00 for each lead delivered). These amounts vary with the number of inspections booked, and the authorization continues until Contractor revokes it in account Settings or by emailing operations@cliniclydistribution.com. Revocation applies to inspections booked afterwards and does not reverse charges already made.
- Failed payments. A booking (or a delivered lead) stands even if the charge for it fails. Provider invoices whoever pays for the account (the Contractor, or the agency whose payment method pays for it) and may retry the charge. While a charge is unpaid, the accounts it pays for are paused: no new bookings and no advertising in their areas. They resume automatically once it is paid.
- No guarantee of results. Provider does not guarantee how many inspections will be booked, whether any inspection will result in an estimate, a signed contract or a job, or the value of any job. Whether an inspection converts depends on Contractor's follow-up, estimate, pricing, availability and the homeowner's decisions.
- Chargebacks. Contractor agrees not to initiate a chargeback, payment reversal, or ACH return against a valid inspection or lead charge, including because a homeowner could not be reached, did not show or canceled; no-shows are handled through the no-show report in Section 2. Questions about a charge should be sent to operations@cliniclydistribution.com. Provider may contest an unauthorized reversal using booking, calendar and communication records as evidence and may recover associated chargeback fees and collection costs from Contractor.
4. Availability, Bookings & Calendar
- Availability. Contractor sets weekly hours, appointment length, buffer time, minimum notice and how far ahead homeowners can book. Homeowners can book any open time within those settings, and Contractor is expected to attend the inspections booked.
- Calendar connection. Contractor may connect a Google Calendar or Outlook calendar. Provider then reads the busy or free status of Contractor's calendar (the start and end times of events, not their titles, descriptions or attendees) so that homeowners are only offered times Contractor is free, and creates an event on that calendar for each inspection booked, updating or deleting it if the inspection is moved or canceled. The event contains the homeowner's name, phone number, email address, the project and the address for the visit. Without a connected calendar, Provider uses Contractor's weekly hours and the inspections already booked through STALLION. Contractor can disconnect the calendar at any time in Settings. An inspection booked at a time that was in fact busy on a calendar Provider could not see remains Contractor's responsibility.
- If Contractor cannot attend. If Contractor cannot attend a booked time, it must contact the homeowner or support at least 24 hours before the inspection so that it can be rebooked. An inspection that Contractor misses stays paid.
- Homeowner data. The homeowner's contact details and address may be used only for the inspection and the homeowner's project (Section 7).
5. Term & Cancellation
- This is a no-commitment service with no minimum term. Contractor may cancel at any time from account Settings. Contractor may ask Provider to pause new bookings through the support chat.
- Cancellation stops routing and new bookings. Inspections already booked stay on the schedule unless Contractor contacts support to have them rebooked under Section 4, and inspections booked (or leads delivered) before cancellation remain paid. Unused credits end when the account is cancelled.
- Provider may suspend or terminate service immediately for failed payment, misuse of homeowner data, or material breach of these Terms.
6. TCPA & Consent
Homeowner requests are generated in line with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and applicable state consumer protection laws. Each homeowner request carries a consent record with the timestamp, ad attribution and the consent language the homeowner was shown (and, for requests made on STALLION's own pages, the IP address and user agent). Contractor can retrieve it as a record of the homeowner's consent. The consent given covers contact about the homeowner's project, such as a roof replacement or roof inspection, and the scheduling of a free inspection or estimate by phone, text and email. Contractor is responsible for its own compliance with the TCPA, Do Not Call rules, and state telemarketing and messaging laws when it contacts homeowners, including honoring opt-out requests promptly.
Opting out. A homeowner can stop calls, texts and emails at any time by replying STOP to a text or using the opt-out page. Provider honors the request right away. Contractor must honor every opt-out and must not call or text a homeowner who has opted out. Provider keeps records of each consent and each opt-out for five years.
7. Contractor Responsibilities
- Hold and maintain all licenses, registrations, permits, bonds and insurance required to perform roofing or remodeling work where the homeowner is located, and comply with all applicable state and local home-improvement and contractor-licensing laws.
- Attend booked inspections on time (and contact any delivered leads promptly), give honest estimates, and provide contracts, permits and workmanship to the homeowner. Contractor is solely responsible for the work it performs and for its dealings with homeowners.
- Contact homeowners lawfully and respect any request to stop contacting them.
- Maintain a valid payment method on file.
- Keep the service area, calendar and availability settings accurate.
- Use homeowner data (name, phone, email, address, project details) only for the inspection and the homeowner's project. Never share, resell, or distribute homeowner data received from Provider, or use it for unrelated marketing.
- Credit and identity information. Use any credit or identity information included with an inspection only for the homeowner's roofing project; keep it confidential and secure; never resell or share it; and comply with the Fair Credit Reporting Act and other applicable law when using it.
- Handle homeowner data in accordance with applicable privacy laws.
8. Provider's Role
Provider is not a contractor and is not a party to any agreement between Contractor and a homeowner. Provider does not vet, license, endorse or guarantee Contractor or any homeowner, does not give construction, legal or financial advice, and does not control how Contractor performs its work. Contractor will indemnify Provider against claims arising from Contractor's work, its dealings with homeowners, or its non-compliance with the laws referred to in Sections 6 and 7.
9. Limitation of Liability
Provider's total liability under these Terms shall not exceed fees paid by Contractor in the three (3) months preceding the claim. Provider is not liable for indirect, incidental, consequential, or punitive damages, and makes no guarantee regarding booking volume, contact rate, show rate, conversion rate, job value, or the outcome of any inspection.
10. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada. Disputes shall be resolved by binding arbitration in Mississauga, Ontario, in accordance with the rules of the ADR Institute of Ontario.
